Clayton High School Band Boosters BY-LAWS

Article 1] NAME AND DISSOLUTION

Section 1)

The name of this organization shall be “The Clayton High School Band Boosters.” (Will be called the CHS Band Boosters).

Section 2)

Said CHS Band Booster organization is organized for charitable, educational, or religious purpose under the section of IRS code 501-C-3.

Section 3)

No part of net earnings of the CHS Band Boosters shall benefit, or be distributed to any member, trustee, officers, or other person, except that the CHS Band Boosters shall be authorized to pay reasonable compensation for services rendered to the group.

Section 4)

The CHS Band Boosters will not carry on any other activities not permitted by IRS Code 501-C-3.

Section 5)

Upon dissolution of this organization, assets will be distributed for one or more exempt organizations designed to continue music education at Clayton High School in the Fine Arts Dept. or The Johnston County School System.

Article 2] OBJECTIVES
The objectives of “The Clayton High School Band Boosters” shall be:

Section 1)

To encourage and maintain an enthusiastic interest in and provide support to the various programs of the Band at Clayton High School {CHS}.

Section 2)

To encourage and support the band program as a learning and growing tool for ALL students.

Section 3)

To provide a line of communication and cooperation between the Band Director(s), Staff, School Administration, School Board, and Members of the CHS Band Boosters.

Article 3] MEMBERSHIP

The membership of this organization is open to all persons interested in the promotion of the CHS Band Program. Only parents with students in the band program can be an officer.

Article 4] OFFICERS

Section 1)

The officers of the CHS Band Boosters shall be: President, Vice President of Operations, Vice President of Finance, Secretary, Treasurer.

Section 2)

No Band Director or Principle employed by the Johnston Co. Schools, their spouses or immediate family members may hold elective office.

Section 3)

A nominating committee consisting of The Band Director and three members will be appointed by the President no later than February 28. The Nominating Committee shall present a slate of officers to the full membership. Nominees must agree to serve prior to the election. At the meeting where the election occurs, the President will open the floor for further nominations. Those nominated from the floor must agree to serve prior to any voting. In addition, the Band Director must concur with all nominees.

Section 4)

New officers will be elected at the April meeting of the CHS Band Boosters. They will be installed at the Band Banquet. The term of office will be 1 year (from May to May).

Section 5)

In case of resignation or termination of an officer, the Executive Committee shall appoint a replacement to serve out the term.

Article 5] EXECUTIVE COMMITTEE

Section 1)

The Executive Committee shall be composed of no more than ten (10) Members. The officers {President, V-P of Operations, V-P of Finance, Secretary, Treasurer}, Fundraising, and 2 members elected by the membership. The Band Director will be an ex-officio member without voting rights.

Section 2)

The Executive Committee will have general supervision of the affairs of the CHS Band Boosters.

Section 3)

Meetings of the Executive committee shall be called by the President or by a majority vote of the Executive Committee.

Section 4)

The Executive Committee shall have the authority to approve any expenditure of up to $250.00 without membership approval other than those provided for in the budget.

Section 5)

The Executive Committee shall monitor and manage the budget. These responsibilities should include the ability to move available funds between line items of the budget; however, the total amount of the budget cannot be changed without a vote of the membership. They can reduce or eliminate line items if revenues fall short of budget.

Article 6] MEETINGS

Section 1)

There shall be at least 6 general membership meetings each school year.

Section 2)

The annual meeting shall take place each April.

Section 3)

The President or a majority of the Executive Committee may call meetings as needed by the CHS Band Boosters.

Article 7] QUORUM

Section 1)

A majority of the Executive Committee shall constitute a quorum.

Section 2)

A quorum at General Membership Meetings shall consist of at least 20 members of the CHS Band Boosters.

Article 8] FAIR SHARE

Section 1)

The fair share program is our method of students supporting the band program.

Section 2)

No part of concessions or Clayton Band Classic revenue will be considered fair share funds.

Section 3)

The Executive Board shall establish the student fair share amount after the budget is approved each year.

Section 4)

The Fundraising Committee shall provide an adequate number of opportunities for students to raise their fair share.

Section 5)

Students failing to raise their fair share or opting not to raise funds must make arrangements with the Treasurer to pay the specified amount [details will be in Orientation Packet].

Section 6)

Students exceeding their fair share amount in one band year may carry- over the excess to the next year

Section 7)

Families with more than one band student will only be responsible for ½ the fair share amount for the second or more students.

Article 9] AMENDMENTS

Section 1)

Amendments to these By-Laws must first be presented to and approved by a majority of the Executive Board.

Section 2)

The Executive Board shall present all amendments to the membership

Section 3)

After at least two (2) weeks - with a quorum present, Amendments may be voted on by the membership. A 2/3 majority of the members present is required for passage.
